How Much Equity Should Founders Keep Post Pre-Seed? Most founders don’t realise how quickly they lose control over 2-3 rounds. If you’re at the pre-seed stage in India, here’s the equity range I recommend: a. Founders (combined): ~80-85% b. ESOP pool: 5-10% (plan ahead, even if not allocated yet) c. Investors: 10-15% (₹25L-₹1.5Cr typical range) Why this matters: If you give away 30% in your first cheque, future rounds will squeeze you badly. By Series A, you’ll be under 25% - and investors will question your motivation. Cap table = long-term control. Don’t mortgage it for short-term cash.
