Firstly you guys are already entering late in this industry personally i knows 10+ apps that's are doing too good in this industry and many apps failed because of less orders at initial stages , cash burn issues etc even few apps has already lot's of Funding to provide great offer's to customers and truck drivers and that's the reason they can easily operating on 0% commission model's. As you said that you're giving 25% equity to someone who knows many things about this industry and helps you in buildings app , connections etc but not ready to work with you full time right ? even he is expecting to grow first then leave own business and work full time on this project ? according to me he is just doing betting on this project and if he is ready to invest money also then this deal is not a bad until he is investing time also at the end of the day you need to hold 60% stake of your company for making any decisions single handedly

After getting 25%, he will have no risk. He has to guide a little and introduce you to people who are in that industry. He will join after the platform grows. This is a mentorship fee and 25% is too much. He has his business and he will keep focused on his and he will be joining yours if 25% of your platform will earn more than his current business. He may be useful but first make the terms in your favour.

equity is not for free of cost and you are giving 25% it is too much, if you are actually serious about it then always remember every share has a value don't give it like this rest you will decide

SImple, don't do it. Anytime you have a question in your mind about whether or not you should get into business with someone, even getting that question in your mind is enough to jsut say nope and walk away.

Teaming up with someone experienced can really speed things up, especially with connections but 25% is a lot for someone who will not be handson involved in the business.
