Hi, I started my company on July 2023, for purpose of selling fashion products through dropshipping method. I invested approx 2.80lakh on that dropshipping company. Also, from online where I registered my OPC asked me for ₹25999 for compliance. Due to I am bank employee unabe to visit or check my compliance is filling ontime or not so I paid them above said amount. After few months I realize where I invested my money for dropshipping there service is very poor. Shipping is not on time, Customer order 2 products they send only 1. So I stop work with that company. Also for next year when Reached to local CA for company compliance and when he check my filling there is nothing update. I loss my ₹25999. Now I am currently work another dropshipper. Here many people are who have much experience please help me for this query. "I am thinking to close my OPC and regitered as a Proprietorship again. When firm turnover is become good then registered it as company. Please help.

If your product is well qualified and attractive that's enough. Make sure first to attract the people's with advertising with different platforms. And then start your business with your local itself ,but try to spend more time for advertising. That's it ,when people start to think "let's try your product" start to giving offers for your no loss. That's enough people will come and grab to your product from your shop only ,no need for delivery.When ther is a enough amount with you to invest at that time you can think of delivery

closing your opc is the right step if compliance is becoming a burden. a proprietorship will keep things simple, let you focus on growth, and when you're ready, you can always scale into a pvt ltd.

Bank employee trying to run a side business without proper time to manage compliance or operations? Recipe for disaster. Sorry if that sounds harsh, but you need to hear it. Either commit fully to entrepreneurship or stick to your day job. These half-measures are costing you lakhs with nothing to show for it. And regarding the compliance service that took your money - file a complaint with the Ministry of Corporate Affairs. That's straight-up fraud and they should be reported.

since your opc isn’t active & compliance wasn't maintained, you’ll need to officially strike off the company through form STK-2 with the roc.

You got scammed twice, my friend. First by that dropshipper with terrible service and then by whoever took ₹26k for "compliance" without doing anything. Don't throw good money after bad by closing the OPC and starting all over again. Instead, find a reliable CA (ask for referrals from people you trust, not random online services) and get your existing company compliant. Starting a proprietorship now means losing the liability protection of an OPC, which is one of the few good investments you've made so far. Fix what you have rather than abandoning it.
