Firstly it's a founder mistake that he didn't sign a proper agreement with the co-founder with clear mentions of term and conditions for decision making and company operations also giving 40% equity to a co founder is bad move . 10-15% equity is enough for a co founder For solving this issue i will prefer compromise with co founder and also sign proper detailed agreement with co founder for instant decision makings and give him suitable role . If still he is creating problems for company then we will take Legal action against him and try to buy shares also take all the major roles and powers from him .
