The development comes as Zepto prepares to confidentially file its draft red herring prospectus (DRHP) on December 26. The company has also recently converted into a public limited company. Zeptoโ€™s regulatory filings show a sharp rise in scale over the past year, alongside a widening of losses. For the financial year ended March 2025, the company reported turnover including other income of Rs 9,668.76 crore, more than doubling from Rs 4,223.91 crore in FY24. The companyโ€™s net loss widened to Rs 3,367.28 crore in March 2025 from Rs 1,214.67 crore in FY24. Zepto recently concluded a $450 million fundraise as part of its ongoing capital expansion ahead of the IPO. The company has raised a total of $2.3 billion since its inception, including $1.8 billion since January last year. The Aadit Palicha-led company was valued at $7 billion during the last fundraise. With this move, Zepto is set to become the third quick commerce player to list on Indian stock exchanges, after Eternal and Swiggy, which operate Blinkit and Instamart, respectively.

The companyโ€™s board approved the proposal on November 7, 2025, according to a regulatory filing. Swiggy plans to issue equity shares in one or more tranches to eligible investors, subject to shareholder approval at an upcoming extraordinary general meeting. The fundraise comes as Swiggy looks to strengthen its balance sheet and fuel growth across its core food delivery business and its quick-commerce arm, Instamart. The move also aligns with the broader trend of listed new-age firms tapping capital markets to bolster their financial position and expansion plans. Recently, Swiggy reported that its losses widened 74% year-on-year to Rs 1,092 crore in Q2 FY26, while Instamartโ€™s revenue doubled during the same period. The companyโ€™s operating revenue surged 23% to Rs 3,760 crore in the quarter, driven by higher order frequency and quick-commerce traction. Meanwhile, the Bengaluru-based company also exited Rapido, securing Rs 2,399.5 crore and yielding over a 2.5X return on its investment made less than four years ago. Swiggyโ€™s proposed capital raise follows rival Zomatoโ€™s Rs 8,500 crore QIP in late last year, to strengthen its balance sheet and support its food delivery and quick-commerce verticals.

The board at Capillary Technologies has passed a special resolution to raise up to Rs 500 crore ($59 million) via fresh issue of equity of shares and an offer for sale of up to an aggregate amount of Rs 1,750 crore ($205 million), its regulatory filing accessed from the Registrar of Companies show. In a separate move ahead of the IPO, the firm has expanded its employee stock ownership plan (ESOP) pool by 123%, increasing it from 32.6 lakh to 72.91 lakh options, which now account for 9.04% of its total share capital. According to Entrackrโ€™s estimates, the expanded ESOP pool is valued at around Rs 212 crore, out of a total pool size of Rs 384 crore. Founded by Aneesh Reddy, Krishna Mehra, and Ajay Modani, Capillary Technologies is a SaaS company that helps brands strengthen customer loyalty. Its platform provides insights that enable brands to offer real-time, personalized, and consistent experiences across multiple channels. As per the company, it operates across the US, India, the Middle East, and Asia, supporting over 100 loyalty programs and partnering with more than 250 brands, including Tata, PUMA, Shell, and Al-Futtaim, among others. Capillary Technologies has raised more than $240 million so far, including a $140 million Series D round completed in February last year. From this amount, $20 million is allocated for employee payouts through its stock ownership plan (ESOP). Earlier this month, the company expanded its presence in North America by acquiring Kognitiv, a provider of omnichannel loyalty solutions, as part of its strategic growth plan.

Indian dairy company Milky Mist has appointed two independent directors to comply with the Companies Actโ€™s independence requirements ahead of filing its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The board at Milky Mist has appointed Radha Venkatakrishnan and Mallika S Janakiraman as additional directors (in the capacity of independent directors), its regulatory filing accessed from the Registrar of Companies (RoC) shows. According to media reports, the company plans to raise Rs 2,000 crore through its IPO, comprising a mix of fresh issues and offers for sale, with an estimated valuation of around $2.3 billion. JM Financial, IIFL Capital, and Axis Bank are likely to serve as lead managers for the offering. Founded by T. Sathish Kumar, Milky Mist follows a direct farm-to-fork model, sourcing milk from farmers and processing it in its facility. Specializing in value-added dairy products like paneer, cheese, and curd, it serves modern trade, quick commerce, and HoReCa segments. The company claims to process 1.5 million litres of milk daily at its fully automated 75-acre facility in Perundurai, Tamil Nadu. During the fiscal year ending March 2024, the company recorded 33% year-on-year growth in its revenue to Rs 1,900 crore. However, its profit slipped to Rs 19.46 crore in FY24 from Rs 28 crore in FY23. Recently, several companies such as Zepto, Physics Wallah, and Shadowfax have appointed independent directors to comply with regulatory requirements set by the Securities and Exchange Board of India (SEBI) ahead of their planned public listings.
