Home services marketplace Urban Company has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) for an initial public offering (IPO) on Monday. The IPO includes a fresh issue of equity shares worth Rs 429 crore (approximately $50 million) and an offer for sale (OFS) of equity shares amounting to Rs 1,471 crore, as per the DRHP. As part of the offer for sale, Accel India will offload shares worth Rs 433 crore, while Elevation Capital and Tiger Global will sell shares valued at Rs 346 crore and Rs 303 crore, respectively. VY Capital and Bessemer will divest shares worth Rs 216 crore and Rs 173 crore through the IPO. According to the DRHP, Elevation Capital is the largest external shareholder with 10.84%, followed by Accel India and VY Capital, which hold 10.5% and 9.18%, respectively. Steadview and Prosus each own 6.80%, while Bessemer and Tiger Global command 6.46% and 4.73% stakes, respectively. The firm’s co-founders — Abhiraj Singh Bhal, Varun Khaitan, and Raghav Chandra — collectively own 20.01%, divided equally among the three. Urban Company plans to list its shares on both the National Stock Exchange (NSE) and the Bombay Stock Exchange (BSE). The IPO will be managed by Kotak Mahindra, Morgan Stanley, Goldman Sachs, and JM Financial, who are acting as the book-running lead managers. Importantly, as an early-stage investor, Accel is set to secure a significantly larger exit than any other investor in Urban Company. Its exit value will be 16.6 times higher than Tiger Global’s, 5.6 times higher than VY Capital’s, and 97% higher than Bessemer India’s. Elevation Capital, which also invested in Urban Company during its early years, is expected to achieve a lucrative exit as well. According to the company, the net proceeds from the fresh issue will be utilized for the new technology, cloud infrastructure, lease payments, marketing, and other general corporate purposes. In the first nine months of FY25, the company posted revenue of Rs 846 crore and a restated profit of Rs 24.25 crore. For the full fiscal year ended March 2024, it reported revenue of Rs 828 crore and a loss of Rs 92.7 crore.

Square Yards to raise Rs 2,000 Cr via IPO at $1.5-$2 Bn valuation Proptech platform Square Yards is eyeing to raise Rs 2,000 crore through an initial public offering (IPO) at a valuation of $1.5–2 billion, sources aware of the development told Entrackr. The Gurugram-based company is in the process of appointing investment bankers and is likely to file its Draft Red Herring Prospectus (DRHP) within the current financial year. “The planned Rs 2,000 crore Initial public offering (IPO) will be split equally between primary and secondary components, said a source. “A significant portion of the funds raised will be used to provide an exit opportunity for early investors and to reduce the company’s debt.” Founded in 2013, Square Yards is a proptech platform that provides end-to-end real estate services, including property discovery, buying and selling, mortgage assistance, home furnishing, rentals, and property management. Square Yards operates in more than 100 cities across nine countries and has 150,000 agent partners. Square Yards has raised a total of $200 million of funding to date, having Reliance Group as its lead investor, which has an 8% stake in the company. According to another source, the founders of the company are expected to hold more than 50% stake after the IPO. Square Yards is targeting Rs 2,000 crore of revenue and Rs 200 crore EBITDA (Earnings before interest, tax and depreciation) by the end of the current fiscal year (FY26). During the previous fiscal year, Square Yards reported 40.9% year-on-year growth in its operating revenue to Rs 1410 crore, while its gross profits soared by 51.9% to Rs 316 crore in FY25, compared to Rs 208 crore in FY24.

Zepto board approves Rs 11,000 Cr raise ahead of confidential IPO filing Zepto prepares to confidentially file its draft red herring prospectus (DRHP) on December 26. Quick commerce firm Zepto has moved closer to the public markets after its board approved a plan to raise up to Rs 11,000 crore through a fresh equity issue and an offer for sale (OFS) by existing shareholders, as per regulatory filings accessed by Entrackr. The development comes as Zepto prepares to confidentially file its draft red herring prospectus (DRHP) on December 26. The company has also recently converted into a public limited company. Zepto’s regulatory filings show a sharp rise in scale over the past year, alongside a widening of losses. For the financial year ended March 2025, the company reported turnover including other income of Rs 9,668.76 crore, more than doubling from Rs 4,223.91 crore in FY24. The company’s net loss widened to Rs 3,367.28 crore in March 2025 from Rs 1,214.67 crore in FY24. Zepto recently concluded a $450 million fundraise as part of its ongoing capital expansion ahead of the IPO. The company has raised a total of $2.3 billion since its inception, including $1.8 billion since January last year. The Aadit Palicha-led company was valued at $7 billion during the last fundraise. With this move, Zepto is set to become the third quick commerce player to list on Indian stock exchanges, after Eternal and Swiggy, which operate Blinkit and Instamart, respectively.
