Digital investment platform Groww has filed a revised draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) as it gears up for a Rs 7,000 crore initial public offering (IPO). The public issue will include a fresh issue of Rs 1,020 crore alongside a large offer for sale (OFS) by existing investors and co-founders. As per the estimates, the OFS will see secondary share sales worth about Rs 5,000 crore. Peak XV will divest 15.8 crore shares, while YC Holding and Ribbit Capital will offload 10.5 crore and 11.8 crore shares, respectively. Tiger Global, Kauffman Fund, and co-founders Lalit Keshre, Harsh Jain, and Neeraj Singh will also participate in the sell-down. This development comes weeks after the Bengaluru-based firm secured SEBI’s nod for its confidential filing. The IPO will be managed by Kotak, JP Morgan, Citi, Axis Capital, and Motilal Oswal, with MUFG Intime as registrar. Groww plans to deploy the fresh issue proceeds towards strengthening its cloud infrastructure, brand building, investments in subsidiaries, acquisitions, and general corporate purposes. According to the draft red herring prospectus, Peak XV remains Groww’s largest external stakeholder with a 21.73% stake, followed by YC Holding (12.05%). Ribbit Capital and Tiger Global also hold meaningful ownership, while co-founders Keshre, Jain, and Singh own 9.13%, 6.72%, and 6.26%, respectively. On the financial front, Groww posted a 50% year-on-year jump in revenue to Rs 3,902 crore in FY25, up from Rs 2,609 crore in FY24. The company also turned profitable, reporting Rs 1,824 crore versus a loss of Rs 805 crore in FY24. In Q1 FY26, Groww clocked Rs 904 crore in revenue with a profit of Rs 378 crore. The platform reported 18.07 million transacting users, including 14.38 million active clients, during the quarter.

Bengaluru-based fintech lender Moneyview has filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) to raise Rs 1,500 crore through an initial public offering (IPO). According to the DRHP, the proposed IPO will comprise a fresh issue of equity shares worth Rs 1,500 crore, along with an offer for sale (OFS) of up to 13.6 crore equity shares by existing shareholders. Promoter and co-founder Puneet Agarwal will participate in the OFS alongside several early investors, including Accel, Ribbit Capital, and Apis Partners. The company is also considering a pre-IPO placement of Rs 300 crore. According to the DRHP, Axis Capital, IIFL Capital Services, BofA Securities India, and Kotak Mahindra Capital Company are the issue’s merchant bankers, while MUFG Intime India is the registrar. The company plans to utilize Rs 650 crore from the fresh issue to support loan disbursals through Default Loss Guarantee (DLG) arrangements, while Rs 450 crore will be infused into its NBFC arm, Whizdm Finance, to strengthen its capital base. The remaining proceeds will be used for general corporate purposes. Founded in 2014 by Puneet Agarwal and Sanjay Aggarwal, Moneyview operates a credit-led digital financial services platform offering personal loans, credit score tracking, insurance distribution, and other financial products. The company primarily focuses on serving new-to-credit and underserved customers across India. The fintech platform claims to have built a user base of over 125 million, with a strong presence in Tier II and smaller cities. It works with more than 40 financial institutions, including banks, NBFCs, and insurers, to offer credit and other financial services. On the financial front, Moneyview has reported strong growth and profitability in recent years. The company recorded operating revenue of around Rs 2,379 crore in FY25, while net profit stood at Rs 240 crore during the same period. For the nine months ended December 2025 (9MFY26), the startup reported revenue of Rs 2,409 crore and net profit of Rs 245 crore.

Stock broking platform Groww has filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) through the confidential route, according to public notices published in newspapers on May 25. The pre-filing mechanism, introduced by SEBI in 2022, allows companies to privately submit their DRHPs. The document remains confidential until the firm decides to go public, giving companies greater flexibility in IPO planning. Groww is currently the largest stockbroking platform in India, with over 13 million active users monthly, according to NSE data. It commanded a 26.57% market share in February 2024, ahead of rivals Zerodha (16.25%) and Angel One (15.62%). Backed by Peak XV Partners, Tiger Global, Ribbit Capital, and Y Combinator’s Continuity Fund, Groww has raised around $400 million to date. Its last round was a $251 million Series E in October 2021, which pegged its valuation at $3 billion. The company is now looking to raise $200 million in a pre-IPO round, targeting a valuation in the $6.5–7 billion range. As part of this, Viggo Investments Pte Ltd has sought clearance from the Competition Commission of India (CCI) to acquire a 2.143% stake in Groww. On the financial front, Groww’s revenue from operations surged to Rs 3,145 crore in FY24, though the firm reported a net loss of Rs 805 crore, driven by a one-time tax expense of Rs 1,340 crore related to its redomicile to India. Several Indian startups have recently opted for the confidential filing route introduced by SEBI in 2022 to prepare for their public listings. The Bengaluru-based firm has taken advantage of SEBI’s confidential filing mechanism, introduced last year, which allows companies to keep sensitive financial and strategic details under wraps until closer to listing. Infra.Market’s move comes just weeks after it raised $83 million in a Series G round led by Silverline Homes, with participation from Tiger Global, Accel, Nexus Ventures, NK Squared, and Evolvence India. Earlier in June, the Bengaluru-based company also secured $150 million in debt funding from Mars Growth Capital. On the financial front, Infra.Market reported a 23% year-on-year jump in revenue to Rs 14,530 crore in FY24, while its profit surged 2.4X to Rs 378 crore. The FY25 numbers are yet to be disclosed. The firm operates in a competitive space with OfBusiness, Zetwerk, and Moglix. OfBusiness clocked Rs 19,296 crore in revenue in FY24, while Zetwerk and Moglix posted Rs 14,436 crore and Rs 4,964 crore, respectively. By opting for the confidential filing route introduced by SEBI last year, Infra.Market joins the likes of PhonePe, Meesho, Shadowfax, PhysicsWallah, Groww, Shiprocket, boAt, and Aequs, which have kept their draft filings under wraps until closer to listing.

According to the company’s filing, Groww attracted participation from a strong line-up of marquee investors, including HDFC Mutual Fund, Kotak Mutual Fund, SBI Mutual Fund, Nippon India, Axis Mutual Fund, and Aditya Birla Sun Life, among others. Global institutions such as the Government of Singapore, Monetary Authority of Singapore, Abu Dhabi Investment Authority, Goldman Sachs, New York State Teachers Retirement System, and Norway’s Government Pension Fund Global also came on board. Out of the total anchor allotment, around 46.6% (Rs 1,389.8 crore) was allocated to 17 domestic mutual funds spread across 54 schemes. The anchor allotment for Groww’s IPO will open for public subscription today and will close on November 7. The company has set a price band of Rs 95–100 per share. Backed by Peak XV Partners, Tiger Global, Ribbit Capital, and ICONIQ Growth, Groww’s public issue will include a fresh issue of shares worth Rs 1,060 crore and an offer for sale (OFS) of Rs 5,572.3 crore at the upper price band of Rs 100 per share, with early major investors participating in the OFS. According to Entrackr’s recent report, existing investors in Groww are set to pocket massive gains through the partial offer for sale. Kauffman Fellows Fund will clock an impressive 196X return, while Nirman Ventures and Y Combinator will reap 126.6X and 29X returns, respectively. Major backers such as Peak XV Partners, Tiger Global, and Ribbit Capital are also expected to book substantial profits from the IPO. The Bengaluru-based firm’s operating revenue surged nearly 50% year-on-year to Rs 3,902 crore in FY25, while its profit soared to Rs 1,824 crore during the same period. However, in Q1 FY26, Groww’s revenue declined nearly 10% YoY to Rs 904.4 crore, with the company posting a profit of Rs 378.36 crore.

The IPO includes a fresh issue of equity shares worth Rs 430 crore (approximately $50 million) and an offer for sale (OFS) of 1.83 crore equity shares, according to the DRHP. Earlier this month, the Bengaluru-based firm received the board nod for its planned Rs 2,250 crore or $265 million Initial Public Offering. Capillary Technologies International Pte. Ltd will offload approximately 77.6%, or 1.43 crore shares, of the total OFS. Other participants in the OFS include Ronal Holdings, Trudy Holdings, Filter Capital, and individual shareholders such as Sripathi Venkata Ramana Reddy, Harminder Sahni, Adarsh Reddy, Sudhakar Reddy, Sripathi Damodar Reddy, and Manjunath Nanjaiah. As per the DRHP, Capillary Technologies International Pte Ltd, the promoter, holds a 65.47% stake in the company. Ronal Holdings and AVP Fund (Avataar Ventures) follow with holdings of 7.53% and 5.51%. Trudy Holdings and Filter Capital India own 4.49% and 3.66%, respectively. Capillary Technologies plans to list its shares on both the National Stock Exchange (NSE) and the Bombay Stock Exchange (BSE). The IPO will be managed by JM Financial, IIFL Capital, and Nomura Financial Advisory, who are acting as the book-running lead managers. According to the DRHP, the net proceeds from the fresh issue will be utilized for cloud infrastructure costs, research, design, development, and other general corporate purposes. In the previous fiscal year ended March 2025, the company recorded a 14% year-on-year growth in its revenue to Rs 598 crore, up from Rs 525 crore in FY24. It also posted a net profit of Rs 14.1 crore in FY25, compared to a loss of Rs 68.3 crore in FY24.
