Decoding SpotDraft’s Series B funding round, latest valuation and captable

SpotDraft, a contract lifecycle management (CLM) platform, has recently raised $54 million in its Series B round led by Vertex Growth Singapore and Trident Partners with the participation of Prosus, Premji Invest, Arkam Ventures, Volrado Venture Partners, and others. SpotDraft secured $26 million in its Series A funding round in March 2023. Entrackr has gone through its regulatory filings to decode the round breakup, captable, and current valuation. The board at SpotDraft allotted 1,39,025 Series B compulsory convertible preference shares at an issue price of Rs 33,938 each to raise Rs 472 crore ($54-55 million). The Series B round commenced in December 2024 with an initial investment of Rs 50.5 crore from Xeed Ventures through 021 Capital, Premji Invest, and Arkam Ventures through Unitary Fund. The remaining funds were secured in March 2025. Vertex Growth led the funding round with an investment of Rs 126 crore ($14.8 million), followed by Trident Partners and Prosus, which contributed Rs 109.6 crore ($12.9 million) and Rs 73.2 crore ($8.6 million), respectively. Other notable investors included Premji Invest (Rs 37.6 crore), Arkam Ventures (Rs 34 crore), and Xeed Ventures (Rs 33.6 crore), Volrado Venture Partners (Rs 25 crore). As per Fintrackr’s estimates, the company’s post-money valuation has now reached $190-$200 million. According to startup data intelligence platform TheKredible, the Bengaluru-based company has raised nearly $98.5 million to date. Following the allotment of the Series B round, Xeed Ventures emerged as the largest shareholder with a 15.8% stake in the company. It is followed by Arkam Ventures (10.27%), Premji Invest (10.24%). Co-founder Shashank Bijapur holds a 9.08% stake in the company. Founded in 2017, SpotDraft is an AI-powered contract lifecycle management (CLM) platform designed for in-house legal teams. It streamlines every stage of the contracting process, offering features such as AI-assisted redlining, e-signatures, an intelligent contract repository, third-party document handling, clickwrap agreements, and more. Spotdraft competes with other legaltech startups like Legistify, Leegality, Sirion, Vakilsearch, and others. SpotDraft’s revenue from operations grew threefold in FY24 to Rs 60 crore from Rs 20 crore in FY23, while its losses remained flat at Rs 68 crore during the same period.

Warmup Ventures has launched its second fund, Warmup Fund II, a SEBI-registered Category 2 AIF, with a corpus of Rs 300 crore. The fund will focus on transformative areas such as deep-tech, climate, and sustainability and plans to invest Rs 5–7 crore each in 25-30 early-stage startups across sectors, with a significant provision for follow-on rounds, Warmup Ventures said in a press release. Co-founded by Sharad Bansal, Rajendra Lora, and Yogesh Chaudhary, Warmup Ventures aims to bridge the gap between India's rich business heritage and its burgeoning innovation economy. By engaging family offices and second-generation entrepreneurs, the fund creates a unique platform that connects legacy businesses with future-forward startups. Warmup Ventures has backed over 15 startups. These include Bobabhai, scaling to more than 45 stores nationwide; Nitro Commerce, now hosting over 200 brands; Minimizes, a Li-ion battery recycling startup; RocketPay, a simplified payment collection app with over 5,000 merchants onboard; and Balwaan Krishi, which secured Rs 40 crore from JM Financial to advance agritech solutions for small and mid-size farmers. Warmup Ventures looks to go beyond funding by equipping early-stage founders with the knowledge and networks to make informed decisions and scale faster. The VC firm says that it harnesses the collaborative power of its network to create value for both portfolio startups and investors.

Recur Club launches Rs 150 Cr fund for D2C brands on QCP Recur Club, a debt marketplace for startups and SMEs, has launched a Rs 150 crore ($18 million) fund to accelerate the growth of D2C brands in the quick commerce sector. This initiative aims to provide growth and working capital for these brands to acquire additional inventory or boost marketing efforts. The fund targets loan disbursal within seven days. Recur Club’s debt offerings are designed to meet the unique financial needs of businesses across various revenue and profitability stages. The Indian quick commerce market is expected to expand at a CAGR of over 25% leading up to 2030, and the D2C sector is anticipated to exceed $60 billion by 2027. Recur Club says that this new fund aligns with its aim to fuel the growth of ‘Make-in-India’ startups, particularly in the quick commerce segment of the D2C market. Some notable brands that have benefited from its funding include Ustraa and Wellversed. “With more than half of the 300 consumer brands we've financed utilizing quick commerce platforms, it's clear that these businesses are primarily investing in scaling inventory to keep pace with consumer demand and employing strategic marketing efforts,” said Eklavya Gupta, CEO & co-founder of Recur Club. Recur Club offers loans to startups and businesses, ranging from Rs 50 lakhs to Rs 100 crore within 48 hours by linking their financial data. In collaboration with InCred, it has deployed Rs 300 crore in funding aimed at supporting early and mid-stage startups. Recur Club has committed to deploying Rs 2,000 crore in debt funding for startups and SMEs through Recur Scale and Rs 1,000 crore to MSMEs through Recur Swift in this financial year. As part of this initiative, the company has launched its "Recur Scale" facility, which offers up to Rs 100 crore in funding for individual startups or SMEs. Over the last three years, Recur Club has disbursed over Rs 500 crore to D2C businesses, comprising 30% of its overall portfolio and spanning companies with revenues ranging from ₹1 crore to Rs 300 crore. It is backed by institutional investors like InfoEdge Ventures, Village Global, LC Nueva, and Titan Capital.
